1. Agreement to Terms

These Terms of Service (“Terms”) govern the use of services provided by Vorion Systems LLC (“Company,” “we,” “us,” or “our”) through our website, messaging platforms, or direct contractual engagement. By accessing, using, or engaging our services, you (“Client,” “you,” or “your”) agree to be legally bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

2. Nature of Services

Vorion Systems provides business process outsourcing (BPO), virtual assistance, operational support, digital marketing, technology solutions, and related business services across industries including (but not limited to) real estate, healthcare, e-commerce, and retail.

  • Virtual assistant services (full-time or part-time)
  • Administrative support and transaction coordination
  • CRM/MLS management and lead generation
  • Cold calling and outreach support
  • Social media management and paid advertising
  • Website development and integrations
  • AI chatbot integration and automation consulting
  • Cloud hosting and IT infrastructure support
  • Research, analytics, and custom business solutions

Service scope will always be defined in writing before work begins. We reserve the right to modify, suspend, or discontinue services where necessary.

3. Service Terms Framework

3.1 Operational Framework: Client engagements generally operate under a projected one-year service framework to maintain operational continuity and pricing stability.

3.2 Non-Binding Nature: This framework is non-binding unless otherwise stated in a separate signed agreement. Either party may modify or discontinue services with written notice, subject to payment obligations.

3.3 Independent Contractor Status: All services are provided on an independent contractor basis. No employment, partnership, or joint venture relationship is created.

4. User Obligations

  • Provide accurate, complete, and timely information
  • Maintain account and credential security
  • Comply with applicable laws and regulations
  • Avoid unlawful, fraudulent, or unethical use of services
  • Not interfere with or disrupt services
  • Provide necessary system access and cooperation

Failure to meet these obligations may affect service delivery.

5. Payment Terms

Services are billed monthly in advance unless otherwise agreed in writing. Payment must be received before services commence or continue. Payments should be made through verified business or registered accounts unless approved otherwise. Clients must review invoices promptly and report discrepancies within three business days. We reserve the right to suspend or terminate services for overdue payments.

6. Refunds, Disputes & Chargebacks

All payments are final and non-refundable except in verified billing or technical error cases. Refunds may occur only when a billing miscalculation or verifiable payment processing error is confirmed. Formal written requests may require documentation and director-level approval. Clients agree to address concerns directly before initiating chargebacks. Dissatisfaction with results or business changes do not qualify for refunds.

7. Messaging Terms & Communications

By engaging our services, you agree to receive informational communications such as service updates, reminders, and account notifications. Message frequency may vary. Message/data rates may apply. You may opt out anytime by replying STOP or emailing info@vorionsystems.com.

8. Service Availability & Scheduling

Working hours generally align with U.S. time zones communicated during onboarding. After-hours or holiday services must be arranged in advance and may incur additional charges.

9. Data Security & Confidentiality

We implement reasonable security practices including company-issued equipment, restricted personal device usage in secure environments, encrypted communications, and secure cloud infrastructure. Clients remain responsible for safeguarding credentials and providing secure access.

10. Intellectual Property

Client-owned deliverables transfer upon full payment unless otherwise agreed. Vorion Systems retains ownership of internal systems, methodologies, templates, and proprietary processes. All platform branding and content remain Company property unless explicitly assigned.

11. Performance Disclaimer

Services provide operational and marketing support only. Business outcomes depend on external factors including market conditions, client execution, and third-party platforms. No revenue or performance guarantees are provided.

12. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect or consequential damages. Liability is limited to fees paid for the most recent billing cycle, and services are provided without guarantees of business performance.

13. Termination

Either party may terminate services with one month written notice unless otherwise agreed. Prepaid services are non-refundable upon termination, outstanding balances remain payable, and services may be suspended immediately for breaches of these Terms.

14. Force Majeure

We are not liable for delays or service failures caused by events beyond reasonable control, including natural disasters, government actions, infrastructure failures, or internet disruptions.

15. Governing Law & Jurisdiction

These Terms shall be governed by applicable laws of the State of Florida, United States, and Pakistan. Disputes may be resolved in courts within the applicable jurisdiction.

16. Amendments

We may update these Terms periodically. Updated versions will be posted on our website, and continued use of services constitutes acceptance of revised Terms.

17. Entire Agreement

These Terms constitute the entire agreement unless supplemented by a separately signed written contract.
